Selling a business in South Carolina: rules and taxes
Income tax (new for 2026). South Carolina changed its income tax for 2026. Taxable income under $30,000 is taxed at 1.99%. For taxable income of $30,000 or more, the tax is 5.21% of taxable income minus $966. The top rate may fall further from 2027 if revenue targets are met.
Capital gains deduction. For tax year 2025, South Carolina let individuals deduct 44% of net long-term capital gains, including qualifying installment-sale income. The 2026 changes reworked how state taxable income is calculated, so ask your CPA whether and how the deduction applies to your sale.
Certificate of compliance. The South Carolina Department of Revenue treats a seller’s unpaid taxes as a lien on the business’s assets in the buyer’s hands when most of the assets are transferred, unless the buyer receives a certificate of compliance from the Department within 30 days before the transfer. The Department may also hold back licenses the buyer needs, such as a retail sales tax license, until the seller’s taxes are settled. Sellers can request the certificate so the buyer gets it in time.
